1. Introduction
These Terms and Conditions ("Terms") govern your use of the hotelgrowthagency.co.uk website (the "Site") and the digital marketing services provided by Hotel Growth Agency ("we," "us," or "our"). By accessing our Site or engaging our services, you agree to be bound by these Terms.
2. Services Provided
Hotel Growth Agency provides digital marketing services specifically for the hospitality industry, including but not limited to:
- Google Ads Management (Search, Display, Performance Max).
- Direct Booking Strategy Consultation.
- Landing Page Optimization.
We agree to perform these services with reasonable skill and care, in accordance with industry standards.
3. Client Obligations
To ensure the success of the campaign, you (the "Client") agree to:
- Provide necessary access to your Google Ads accounts, Google Analytics, and website backend.
- Provide high-quality images, logos, and brand assets required for ad creation.
- Make timely payments for both our Agency Management Fees and the direct Media Spend (paid directly to Google).
4. Media Spend & Payments
Media Spend: You understand that the advertising budget (Media Spend) is paid directly to the advertising platform (e.g., Google Ads). We are not responsible for funding your ad accounts.
Agency Fees: Our management fees are invoiced separately. Invoices are due upon receipt unless otherwise agreed in writing. We reserve the right to pause or terminate campaigns if fees are not paid on time.
5. No Guarantees (Limitation of Liability)
While we employ advanced strategies to improve your direct bookings, we cannot guarantee specific results, booking volumes, or Return on Ad Spend (ROAS). Digital marketing is subject to external factors, including market competition, seasonality, and algorithm changes by third-party platforms (Google).
To the maximum extent permitted by applicable law, Hotel Growth Agency shall not be liable for any indirect, incidental, or consequential damages resulting from the use of our services.
6. Intellectual Property
Client IP: You retain ownership of your brand, logos, and existing creative assets.
Agency IP: We retain ownership of our proprietary methodologies, campaign structures, and audit reports created during the engagement.
7. Third-Party Platforms
We manage campaigns on third-party platforms (Google). We are not liable for any actions taken by these platforms, including account suspensions, ad disapprovals, or policy changes that may affect your campaign performance.
8. Termination
Either party may terminate the service agreement with 30 days' written notice, or as specified in your specific Service Agreement / Proposal.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes relating to these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
